These Terms are a courtesy translation. The French version (Conditions Générales de Vente) is the contractual text and prevails in case of any discrepancy.
These Terms govern the supply of the GhostMeta Pro API, the only paid offering of the service.
The GhostMeta web application is free, unlimited and usable without an account. Cleaning, inspecting and exporting images involves no payment, no subscription and no consideration of any kind. These Terms do not apply to it.
The Pro API is reserved to customers acting in the course of their trade, business, craft or profession. The customer confirms that it subscribes for business purposes and provides its company name and registration number for that purpose.
As no sale is concluded with a consumer within the meaning of the preliminary article of the French Consumer Code, the protective provisions of consumer law do not apply to this relationship: no right of withdrawal, no consumer mediation, and none of the statutory guarantees specific to consumer contracts.

Every GhostMeta account holder, including free ones, additionally has a permanent allowance of 150 calls per month, capped at 5 per day, on each endpoint, with no subscription and no payment.
VAT. The seller benefits from the VAT franchise for small businesses under article 293 B of the French General Tax Code: VAT is not applicable (art. 293 B CGI). No VAT is charged and none is recoverable by the customer.
For a business customer established in another Member State of the European Union, the supply is deemed to take place in the customer's country (art. 259-1° CGI): any VAT due is therefore reverse-charged by the customer, who provides its intra-EU VAT number for that purpose.
Subscription is made in writing, by sending a request to contact@ghostmeta.online together with the company name, registration number, billing address and the email address of the GhostMeta account.
Late payment. Any sum unpaid on its due date bears interest as of right, without prior formal notice, at the European Central Bank rate plus ten percentage points, together with a fixed recovery indemnity of €40 (French Commercial Code art. L441-10 and D441-5). The seller may suspend the Pro quota after a reminder has gone unanswered for fifteen days.
Pro access is supplied for the invoiced period. It does not renew automatically: each period is the subject of a new invoice, accepted by its payment.
The customer may stop at any time, by not paying the following period or by writing to contact@ghostmeta.online. No compensation is due on either side.
Periods already paid for are not refunded pro rata.
The seller does however refund, pro rata for the days not served, any period during which the API was unavailable through its own fault for more than forty-eight (48) consecutive hours. Requests go to contact@ghostmeta.online and refunds are paid by bank transfer within thirty days of acceptance.
A payment collected in error, or covering a period that was never activated, is refunded in full.
The API is provided "as is", with no contractual availability commitment. The seller uses reasonable efforts to keep it accessible and informs Pro customers of planned interruptions.
The quotas set out in article 4 are ceilings, not guaranteed volumes.
GhostMeta removes the metadata it is able to read in the file formats it supports. No guarantee is given that every form of marking, watermarking or provenance signal will be removed, in particular signals embedded in the image itself rather than in its metadata.
The customer is solely responsible for the files it processes, for the rights it holds in them and for the lawfulness of the use it makes of the service.
The seller is not liable for indirect loss, in particular loss of business, loss of data, loss of opportunity or damage to reputation.
Save in the case of wilful misconduct or gross negligence, the seller's liability under the Pro API is limited to the sums actually paid by the customer during the twelve (12) months preceding the event giving rise to the claim.
The processing of personal data is described in the Privacy Policy. The customer remains the controller for the images it submits to the API.
These Terms are governed by French law. The language of the contract is French.
The parties will seek to resolve any dispute amicably. Failing agreement within two months of a written complaint, the dispute falls within the exclusive jurisdiction of the courts of Angoulême, France, including where there are several defendants or third-party proceedings.
In case of any discrepancy between this English translation and the French Conditions Générales de Vente, the French version prevails.
